Accredited investor
An investor who meets SEC income, net-worth, or professional criteria to participate in certain private offerings.
An accredited investor is an individual or entity that meets the SEC's thresholds — for example, specified income or net-worth levels, or certain professional credentials — to invest in private securities offerings.
Under Reg D 506(c), the issuer must take reasonable steps to verify accredited status; a simple self-attestation is not enough.
